These Terms of Service (“Terms”) govern your access to and use of the software products, services, and website operated by FowlSystems LLC (“FowlSystems,” “we,” “us,” or “our”), including RookBase and any other products we offer (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

By creating an account, accessing, or using any FowlSystems Service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to these Terms in full. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
FowlSystems provides AI-powered software tools for small and mid-sized businesses. Our primary product, RookBase, is a knowledge management platform that allows users to upload business documents and interact with them through AI-powered agents. Additional services may include custom software development, website building tools, and related business software.
We reserve the right to modify, suspend, or discontinue any feature or Service at any time with reasonable notice to active subscribers.
To access the Services, you must create an account. You agree to:
FowlSystems reserves the right to terminate accounts that violate these Terms or that have been inactive for an extended period with prior notice.
FowlSystems offers both free and paid subscription plans. Current pricing is published at fowlsystems.com/pricing. We reserve the right to change pricing at any time with at least 30 days’ notice to active subscribers.
Paid subscriptions are billed on a recurring monthly basis through our payment processor, Stripe. By providing payment information, you authorize FowlSystems to charge your payment method on a recurring basis until you cancel.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused portions of a subscription period. If you believe a charge was made in error, contact us at [email protected] within 30 days.
If a payment fails, we will attempt to notify you and may suspend access to the Services until payment is resolved. Accounts with unresolved billing issues may be terminated after a reasonable grace period.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
Violation of this section may result in immediate account termination without refund.
You retain full ownership of all documents, data, and content you upload to the Services (“Your Content”). FowlSystems does not claim ownership of Your Content.
By uploading Your Content, you grant FowlSystems a limited, non-exclusive license to store, process, and use Your Content solely for the purpose of providing the Services to you. We will not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.
You are solely responsible for the accuracy, legality, and appropriateness of Your Content. FowlSystems does not review uploaded content and makes no representations about its suitability for any purpose.
Upon account cancellation, Your Content will be retained for 30 days to allow for data export, after which it may be deleted. We encourage you to export your data prior to cancellation.
Our Services use artificial intelligence to generate responses, summaries, and other content based on your uploaded documents and inputs. By using the Services, you acknowledge and agree to the following:
AI-generated outputs may contain errors, inaccuracies, omissions, or content that does not reflect the most current information. AI systems can produce responses that appear factual but are incorrect or fabricated. FowlSystems does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
You are responsible for reviewing and verifying all AI-generated outputs before relying on them for any business, legal, financial, medical, safety, or other consequential purpose. AI-generated content should be treated as a starting point or draft, not as a final, authoritative source.
Nothing generated by the Services constitutes legal, financial, medical, regulatory, or professional advice. If you require such advice, consult a qualified professional.
FowlSystems does not warrant that AI-generated content will meet your specific requirements, produce any particular result, or be suitable for your intended purpose.
All software, code, design, trademarks, product names, and content created by FowlSystems — including RookBase, our website, and related materials — are the intellectual property of FowlSystems LLC and are protected by applicable laws. Nothing in these Terms transfers any FowlSystems intellectual property to you.
You may not use our trademarks, logos, or product names without prior written permission.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy, available at fowlsystems.com/privacy.
The Services may integrate with or rely on third-party providers, including but not limited to payment processors, cloud infrastructure, and AI model providers. Your use of third-party services is subject to their respective terms and privacy policies. FowlSystems is not responsible for the practices, availability, or accuracy of third-party services.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FOWLSYSTEMS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
We make no warranty regarding the accuracy or reliability of AI-generated content, as further described in Section 7.
TO THE FULLEST EXTENT PERMITTED BY LAW, FOWLSYSTEMS LLC, ITS OFFICERS, EMPLOYEES, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO FOWLSYSTEMS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS ON LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless FowlSystems LLC and its officers, employees, affiliates, and partners from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
Either party may terminate this agreement at any time. You may cancel your account through account settings. FowlSystems may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for other cause.
Upon termination, your right to use the Services ceases immediately. Sections 6, 7, 8, 11, 12, 13, and 16 survive termination.
FowlSystems may update these Terms from time to time. We will notify active subscribers of material changes via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your account.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Marion County, Florida. You consent to personal jurisdiction in those courts.
Before initiating any formal proceeding, you agree to contact us at [email protected] and make a good-faith effort to resolve the dispute informally for at least 30 days.
These Terms, together with our Privacy Policy and any applicable order forms or agreements, constitute the entire agreement between you and FowlSystems regarding the Services.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce that provision in the future.
You may not assign your rights or obligations under these Terms without our prior written consent. FowlSystems may assign these Terms in connection with a merger, acquisition, or sale of assets.
FowlSystems is not liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, government actions, internet service disruptions, or third-party service failures.
